Nerikson Terms and Conditions Effective Date: June 27, 2025
Applicability
These Terms and Conditions (“Terms”) govern access to and use of the website www.nerikson.com (“Site”) and any related services provided by Nerikson (“we”, “us”, “our”). Use of the Site constitutes acceptance of these Terms.
Users may access and use the Site solely for lawful purposes and in accordance with these Terms. We reserve the right to modify, suspend, or discontinue the Site or any portion thereof at any time without notice.
To access certain features, Users may register for an account and provide accurate, complete information. Users are responsible for maintaining the confidentiality of account credentials and for all activities under their account.
Users retain ownership of User Content but grant us a non‑exclusive, worldwide, royalty‑free, transferable, sublicensable license to host, display, distribute, and otherwise use User Content in connection with the Site. We may remove or disable access to User Content at our discretion.
All Site Content, including but not limited to text, graphics, images, video, audio, designs, 3D models, code, and other materials, is owned exclusively by Nerikson or its licensors and is protected under applicable intellectual property laws, including Italian Law No. 633/1941 on Copyright and Related Rights, Legislative Decree No. 68/2003 implementing Directive 2001/29/EC, Directive (EU) 2019/790 on Copyright in the Digital Single Market, and under international intellectual property instruments such as the Berne Convention for the Protection of Literary and Artistic Works, the WIPO Copyright Treaty and the TRIPS Agreement.
All Site Content accessed, downloaded, or acquired from the Site is licensed to Users solely for personal, non-commercial use. Any reproduction, distribution, public display, or creation of derivative works—directly or indirectly—without Nerikson’s prior express written authorization is strictly prohibited. Unauthorized use constitutes a material breach of these Terms and may infringe applicable intellectual property laws, including Italian Law No. 633/1941 on Copyright and Related Rights, Legislative Decree No. 68/2003 (implementation of Directive 2001/29/EC), and Directive (EU) 2019/790 on Copyright in the Digital Single Market, and will be subject to all available civil and criminal remedies under Italian and EU law.
Users are prohibited from engaging in any conduct that contravenes applicable laws or infringes the rights of third parties, undermines the integrity or security of the Site, or involves attempts at unauthorized access or data compromise. Such actions may constitute offenses under Italian Criminal Code Article 615‑ter and the EU Cybercrime Directive (2013/40/EU) and may result in civil and criminal liability under Italian and EU law.
The Site and Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, or non‑infringement.
To the maximum extent permitted by law, neither we nor our affiliates, officers, or employees shall be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or use of the Site.
Users agree to defend, indemnify, and hold harmless Nerikson and its affiliates, officers, and employees from any claims, liabilities, losses, damages, and expenses arising from User’s breach of these Terms or misuse of the Site.
We may suspend or terminate User access at any time for violation of these Terms or for any other reason. Upon termination, all licenses granted to Users will cease.
These Terms are governed by and construed in accordance with the laws of Italy and the European Union, without regard to conflict‑of‑law provisions. Users submit to the exclusive jurisdiction of the competent courts in Milan, Italy.
We may update these Terms from time to time. Revised Terms will be posted on this page with an updated “Effective Date” and shall apply immediately upon posting.
